Reseller Terms & Conditions
By applying for and/or purchasing through a Geek Orthodox reseller account, you agree to the following terms and conditions.
1. Qualified Resellers
Geek Orthodox extends reseller authorization and wholesale pricing to businesses that conduct physical retail or distribution. Reseller authorization will not be extended to online, marketplace, or other e-commerce (non-physical) retail businesses.
Geek Orthodox reserves the right to approve, decline, suspend, or terminate reseller accounts at our discretion. Resellers and distributors will be asked to provide a valid business name, resale certificate or tax identification information, physical store information, or other documentation verifying their business.
2. Payment
Wholesale orders must be paid in full at the time of purchase unless separate payment terms have been approved in writing.
Applicable shipping charges and taxes are the responsibility of the reseller. Resellers claiming sales-tax exemption are responsible for providing any required resale or exemption documentation.
3. Shipping & Fulfillment
Estimated processing and shipping times are provided as a guideline and are not guaranteed. Large orders, handmade products, pre-orders, and temporarily out-of-stock merchandise may require additional production time.
The reseller is responsible for providing a complete and accurate shipping address. Any additional costs resulting from incorrect shipping information may be charged to the reseller.
4. Damaged, Defective, or Missing Products
Please inspect your order promptly upon arrival. Damaged, defective, or missing merchandise should be reported to Geek Orthodox within 7 days of delivery, along with photographs or other documentation when applicable.
Once verified, Geek Orthodox may replace the affected merchandise, issue a credit or refund, or provide another appropriate resolution at our discretion.
5. Returns & Cancellations
Wholesale purchases are considered final sale except in cases of damaged, defective, or incorrectly shipped merchandise.
Order cancellations or changes must be requested prior to shipping. Custom, made-to-order, limited-edition, and special-order merchandise cannot be cancelled or returned once production has begun.
6. Resale of Geek Orthodox Products
Products purchased through the Geek Orthodox reseller program are authorized for resale only through the approved reseller's physical retail location(s) that have been expressly approved by Geek Orthodox in writing.
Resellers may not offer Geek Orthodox products for sale through third-party marketplaces or platforms, including but not limited to Amazon, Etsy, eBay, Walmart Marketplace, Faire, Temu, TikTok Shop, or similar services.
Online resale through a reseller's own website is also prohibited unless specifically authorized by Geek Orthodox in writing.
Resellers may advertise their availability of Geek Orthodox products through their website, social media accounts, email marketing, and other promotional channels, provided that such promotion directs customers to a physical location or previously authorized sales channel.
Authorization to sell Geek Orthodox products is specific to the approved reseller and may not be transferred to another business, distributor, marketplace seller, or other third party.
7. Product Pricing
Unless a specific minimum advertised price (MAP) policy or other pricing requirement is provided for a product, resellers may determine their own retail prices.
We encourage retailers to use Geek Orthodox's suggested retail pricing to maintain consistent positioning of our products across the marketplace.
8. Intellectual Property & Licensed Products
All Geek Orthodox artwork, product designs, photographs, logos, trademarks, packaging, and other creative materials remain the property of Geek Orthodox and/or the applicable licensors and rights holders.
Resellers or distributors may not reproduce, modify, manufacture, or create derivative works from our artwork or products. Any such activity will result in loss of authorization. In case of infraction, Geek Orthodox reserves the right to seek legal remedy.
Licensed merchandise may be subject to additional restrictions established by the applicable rights holder, including restrictions concerning territories, sales channels, advertising, or distribution. Resellers agree to comply with any such restrictions communicated by Geek Orthodox.
9. Product Images & Marketing Materials
Approved resellers and distributors may use product photographs and marketing materials supplied or expressly approved by Geek Orthodox solely for the purpose of advertising and selling authentic Geek Orthodox products purchased directly from us. Any reseller-created marketing imagery must be submitted to Geek Orthodox for approval prior to use.
Geek Orthodox artwork, photographs, logos, and marketing materials may not be substantially altered, used to create new products, or used in a way that suggests a partnership, sponsorship, or licensing relationship beyond the reseller relationship without prior written permission.
10. Product Availability
Some Geek Orthodox products are handmade, produced in limited quantities, or subject to licensing and production constraints. Availability is not guaranteed, and products may be modified, discontinued, or temporarily unavailable without notice.
11. Reseller Account Status
Geek Orthodox reserves the right to suspend or terminate reseller privileges for violations of these terms, unauthorized marketplace sales, misuse of intellectual property, payment issues, or other activity that may harm Geek Orthodox, our licensors, or our retail partners.
12. Changes to These Terms
Geek Orthodox may update these Reseller Terms & Conditions from time to time. The terms in effect at the time an order is placed will govern that order unless otherwise agreed in writing.
By submitting a reseller application or placing an order using reseller pricing, you acknowledge that you have read and agree to these terms.
